Minority Rights Protection in Private Law Assemblies

Аннотация:

The article considers the issues of minority rights protection while the minority’s will is oppressed in shareholder meetings. The minority beyond the corporate legislation usually doesn’t have a legally provided remedy arsenal, in these circumstances it is suggested to resort to more general provisions of private law (to norms regarding fiduciary relations, invalidity of legal transaction, misuse of right, torts). Foreign, as well as existing Russian case law on assessment of shareholder resolutions on merits is examined.
